Terms of Service

1. The agreement

These Terms govern your use of Mithril (mithril.fund, its subdomains and APIs), operated by Kotoba Labs Inc., a Delaware corporation (United States) (“we”). By creating an account or using the API you accept them. If you use Mithril for an organisation, you accept for it and confirm you may bind it. Enterprise customers with a signed Order Form are governed by the Master Services Agreement instead.

2. Accounts and verification

• You must be at least 18 and able to form a binding contract.
• Sign-in is by email link, Google, GitHub or Passkey at auth.mithril.fund. Keep your authenticators, mailbox, provider accounts and API tokens secure; you are responsible for activity under them. Signing in is not approval of an operation: sensitive operations may require a stronger method such as a Passkey.
• Verification is card registration: a live credit or debit card at Stripe Checkout ($0 setup check; prepaid and virtual cards are refused). Verification, and screening, expire and may be renewed. Document verification is optional.
• We may refuse, suspend or revoke verification where the evidence does not hold, where screening fails, or where the law requires it.

3. Acceptable use

The Security Research Acceptable Use Policy is part of these Terms. It permits authorized, lawful security work and prohibits, among other things, CSAM, CBRN weapons assistance and fraud-as-a-service. Requests are screened; a block is recorded with a receipt. Misuse leads to immediate revocation.

4. Free allowance, credits and payment

• Verified accounts receive a free allowance (currently 50 requests per UTC day, with per-request token limits published at api.mithril.fund/v1/models). We may change the free allowance.
• Prices are in USD and exclude taxes. Payment is processed by Stripe.
• Prepaid credits: a whole-dollar deposit from $10 to $1,000, or a credit pack. Purchased credits are valid for 12 months from purchase, then lapse.
• Plans renew each billing period until cancelled. A plan's monthly allowances expire at the end of the period (no rollover). You may cancel anytime in the billing portal, effective at the end of the paid period; there is no proration.
• Automatic recharge is off unless you turn it on; when on, it charges your saved card under the threshold and monthly cap you choose.
• Refunds: request at support@mithril.fund. Granted credits are reversed in the ledger with any refund. During a chargeback or unresolved refund, new paid work is frozen; reads and exports remain. Nothing in these Terms limits refund rights you have under mandatory consumer law.

5. Your content

You keep all rights in the prompts, code and data you send and in the output generated for you. You grant us only the rights needed to operate the service for you. We do not train models on your content. Retention is described in the Privacy Policy.

6. Export control and sanctions

• The service and its output may be subject to the U.S. Export Administration Regulations (EAR) and sanctions administered by the U.S. Treasury's Office of Foreign Assets Control (OFAC), and to the export and sanctions laws of other countries.
• You may not use, access or export the service from or to a country or region subject to a comprehensive U.S. embargo or territorial sanctions program administered by OFAC, or on behalf of a person on the OFAC Specially Designated Nationals list, the BIS Entity List, Denied Persons List or a comparable list.
• You may not use the service for prohibited end uses, including weapons of mass destruction, or to develop intrusion software for a party you are not authorized to test.
• You represent that none of the above applies to you. We may screen accounts and refuse or terminate service to comply.

7. Service changes and suspension

The service is evolving. We may change or discontinue features and will give reasonable notice of material adverse changes to paid features. We may suspend access immediately to prevent harm, abuse, a security incident or a legal violation.

8. Disclaimers

The service and model output are provided “as is” and “as available”. Model output can be wrong, incomplete or unsafe; you are responsible for reviewing it before relying on or executing it. To the extent permitted by law we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.

9. Limitation of liability

To the extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability arising out of these Terms in any 12-month period is limited to the greater of the amounts you paid us in that period and US$100. These limits do not apply to liability that cannot be limited by law.

10. Indemnity

You will defend and indemnify us against third-party claims arising from your content, your use of the service in breach of these Terms or the Acceptable Use Policy, or your violation of law.

11. Termination

You may stop using the service and close your account at any time. We may terminate for material breach or as section 6 requires. Sections 5, 8–12 survive.

12. Governing law and venue

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The state and federal courts located in Delaware have exclusive jurisdiction, and both parties consent to them. If you are a consumer, you keep the protection of mandatory laws of your country of residence and may also bring proceedings there.

13. Contact and changes

Legal notices: legal@mithril.fund. We will post changes here with a new effective date; continued use after a change takes effect is acceptance.
